The following is the confidentiality agreement that must be read and signed by all Phonewire, Inc. employees.

Phonewire, Inc. provides telephone answering service and other communications services to its customers. In the course of performing services for its customers, Phonewire, Inc. receives information from its customers, and patrons of its customer, concerning personal and business matters related to its customers (referred to as Customer Information). The disclosure of Customer Information to any entity, other than the customer for which it was intended, could cause irreparable harm to Phonewire, Inc. and its customers.

In the course of employment, employees learn information concerning Phonewire, Inc. such as:

a)     Technical information: Methods, processes, inventions, machines computer programs and research projects

b)     Business information: Customer lists, customer information, sources of supply and marketing, production or merchandising systems or plans, compensation paid to Phonewire, Inc., other employees, our costs (e.g. rent, equipment leases, etc.) and the names and addresses and telephone numbers of Phonewire, Inc. staff members.

Both Technical and Business information shall be referred to as Internal Information. The disclosure of Internal Information to entities outside Phonewire, Inc. and to other Phonewire, Inc. employees could cause irreparable harm for our company, customers and staff members. Internal Information constitutes valuable intellectual property and proprietary information belonging to Phonewire, Inc.; which are also trade secrets, as defined in applicable statutes.

THEREFORE, in consideration of your employment at Phonewire, Inc., every employee must agree to the following:

You will not disclose Customer Information to any entity unless authorized to do so in writing by Phonewire, Inc.;

You will not disclose any Internal Information to any entity unless authorized to do so in writing by Phonewire, Inc.;

You will not take from our premises any document , computer disk, tape or other repository containing Customer Information or Internal Information unless authorized to do writing by Phonewire, Inc.;

Violation of this agreement by you or any employee shall be good cause for immediate termination and legal liability.

In the event that Phonewire, Inc. brings suit against an employee to enforce its rights, the employee shall be liable to Phonewire, Inc. for all legal costs incurred by Phonewire, Inc. in enforcing any breech of the Agreement of Employment, plus any other damages incurred by Phonewire, Inc. because of such breach by the employee.

Your Obligations hereunder shall not terminate upon cessation of your employment, but shall continue indefinitely.

Any attempt by any entity to obtain Customer Information or Internal Information from Phonewire, Inc. shall be immediately reported by you, in writing, to the Management of Phonewire, Inc.
